3. Use of the Site

The Health Pioneer website is an informational site about our medical-device research and innovation work. No account or registration is required to browse it. When you contact us or submit information through the Services, you agree to provide accurate and complete information and to use the Services only for lawful purposes.

4. Research Prototypes; No Products for Sale

Health Pioneer's devices — including the OmniWheel Walker, VitaSeat, and adaptive-traction MRE materials — are early-stage research prototypes. They are not offered for sale through this website or otherwise, have not been cleared or approved by the FDA, and are not medical devices available for clinical or consumer use.

Any performance results described on the Services come from in-house testing and are pending independent validation. Descriptions, images, and specifications may change as the research progresses, and we do not warrant that content on the site is complete, current, or error-free.

5. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Health Pioneer and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Health Pioneer.

6. User Content

Our Services may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material. You are responsible for the User Content that you post, including its legality, reliability, and appropriateness.

By posting User Content, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such content on and through our Services. You retain any and all of your rights to any User Content you submit, post, or display on or through our Services.

You represent and warrant that: (i) the User Content is yours or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through our Services does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

The information provided on this website is for educational and informational purposes only and is not intended as a substitute for advice from your physician or other healthcare professional. Health Pioneer's prototype devices are not intended to diagnose, treat, cure, or prevent any disease.

9. Limitation of Liability

In no event shall Health Pioneer, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services

• Your use and access of the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Services.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
